Quote & Order Terms

Effective Date: July 30, 2026

These Quote & Order Terms (“Terms”) apply to all quotations, purchase orders, sales, and custom products provided by ArcWright, a trade name (DBA) of ResCom LLC (“ArcWright,” “we,” “our,” or “us”), unless otherwise agreed in writing.

Submission of a purchase order, payment of a required deposit, or written authorization to proceed constitutes acceptance of these Terms.

Our Commitment

At ArcWright, we believe the best solutions come from collaboration. Because many of our products are custom manufactured, clear communication regarding specifications, dimensions, intended use, and project requirements is essential to a successful outcome.

We encourage customers to review quotations carefully, verify all specifications, and ask questions before approving an order.

Quotations

Unless otherwise stated in writing:

• Quotations are valid for thirty (30) calendar days from the date issued.
• Prices are subject to change after the quotation expiration date.
• Quotations are based on the information provided by the customer at the time they are prepared.
• Changes to specifications, quantities, materials, or project scope may require a revised quotation.

A quotation is an invitation to do business and does not constitute acceptance of an order.

Errors and Omissions

ArcWright strives to ensure the accuracy of all quotations, invoices, order acknowledgements, and related documents. However, ArcWright reserves the right to correct clerical, typographical, mathematical, pricing, or administrative errors at any time.

If a correction materially affects an order, ArcWright will promptly notify the customer and provide an opportunity to review or revise the order before production proceeds.

Customer Approval

By submitting a purchase order or otherwise authorizing production, the customer confirms that they have reviewed and approved the specifications, quantities, dimensions, materials, colors (when applicable), and other requirements contained in the quotation or supporting documentation.

The customer is responsible for identifying any discrepancies before production begins.

Order Acceptance

Orders are considered accepted only after ArcWright provides written confirmation.

Upon acceptance of an order, ArcWright will assign an internal Sales Order number for production planning, scheduling, quality control, shipping, and invoicing. References to the Sales Order on production documents, packing slips, or invoices are for internal tracking purposes and do not modify the customer’s purchase order unless otherwise agreed in writing.

ArcWright reserves the right to review purchase orders for pricing, specifications, availability, lead times, and other commercial considerations before accepting an order.

Customer Responsibilities

Customers are responsible for providing complete and accurate information, including:

• Measurements
• Product specifications
• Equipment information
• Photographs
• Intended application
• Purchase order requirements
• Any other information reasonably necessary to manufacture the requested product

ArcWright is not responsible for delays, additional costs, or manufacturing discrepancies resulting from inaccurate, incomplete, or untimely information provided by the customer.

Customer-Supplied Information

Many ArcWright products are manufactured according to customer-provided specifications, measurements, dimensions, photographs, equipment information, and other project requirements.

Customers are responsible for verifying the accuracy and completeness of all information they provide.

Products manufactured in accordance with information supplied or approved by the customer shall be deemed to conform to the order, even if that information is later determined to be inaccurate, incomplete, or requires revision after production has begun.

Payment Terms

Unless otherwise agreed in writing:

• Net 30 payment terms may be extended to approved commercial customers at ArcWright’s discretion.
• Customers who do not provide an approved purchase order or established credit terms may be required to pay a deposit of up to fifty percent (50%) before production begins, as determined by ArcWright.
• The remaining balance is due according to the invoice terms.

Invoices not paid when due may be subject to a late charge of up to ten percent (10%) of the outstanding invoice amount and/or interest at the rate of twelve percent (12%) per annum, or the maximum rate permitted by applicable law, whichever is less.

Failure to make payment according to agreed terms may also result in delayed production or shipment, suspension of work, modification or revocation of credit terms, or a requirement for advance payment or deposits on future orders.

Collection Costs

If any amount due under these Terms is not paid when due and ArcWright undertakes collection efforts, the Buyer shall be responsible for all reasonable costs of collection incurred by ArcWright, including reasonable attorney’s fees, court costs, collection agency fees, and other expenses incurred in enforcing ArcWright’s rights under these Terms, to the extent permitted by applicable law.

Taxes

Quoted prices do not include applicable sales, use, excise, or other taxes unless specifically stated.

Customers are responsible for all applicable taxes required by law.

Order Changes

Because many ArcWright products are custom manufactured, changes requested after an order has been accepted may affect pricing, production schedules, materials, and delivery dates.

Once production has begun, requested changes may require:

• A revised quotation
• Additional charges
• Extended lead times
• Customer approval before work continues

ArcWright will make reasonable efforts to accommodate requested changes but cannot guarantee that changes can be made after production has started.

Order Cancellations

Orders may generally be canceled before production begins.

Once materials have been ordered or production has started, cancellations may not be possible.

If ArcWright agrees to cancel an order after production has begun, the customer remains responsible for costs incurred, including materials, labor, and work completed prior to cancellation.

Lead Times

Estimated lead times are based on current production schedules and material availability.

Estimated shipping and delivery dates are provided for planning purposes only and are not guaranteed unless expressly confirmed in writing by ArcWright.

While ArcWright makes reasonable efforts to meet projected schedules, delays may occur due to circumstances beyond our reasonable control.

Shipping

Unless otherwise agreed in writing, customers are responsible for freight charges.

ArcWright is not responsible for delays caused by:

• Freight carriers
• Supply chain interruptions
• Material shortages
• Weather events
• Government actions
• Customer-requested changes
• Other circumstances beyond our reasonable control

Risk of loss transfers according to the shipping terms agreed upon for each order.

Inspection and Shipping Damage

Customers should inspect shipments immediately upon receipt.

Visible shipping damage, shortages, or shipping discrepancies should be reported to both the freight carrier and ArcWright within three (3) business days of delivery.

Failure to report shipping damage within this timeframe may affect available remedies.

Returns

Because many ArcWright products are custom manufactured to customer specifications, returns are generally not accepted.

Returns may be approved only if:

• A manufacturing defect exists; or
• ArcWright authorizes the return in writing at its sole discretion.

Approval of one return does not create an obligation to approve future return requests.

Limited Warranty

ArcWright warrants that its products will be free from defects in materials, manufacturing, and workmanship for a period of one (1) year from the date of delivery.

This Limited Warranty does not apply to damage resulting from:

• Normal wear and tear
• Improper installation
• Misuse or abuse
• Negligence
• Unauthorized modifications or repairs
• Improper storage or handling
• Accidents
• Use outside the product’s intended purpose
• Failure to follow any product instructions or recommendations provided by ArcWright

At ArcWright’s sole discretion, the exclusive remedy under this Limited Warranty shall be limited to one of the following:

• Repair of the defective product;
• Replacement of the defective product; or
• Refund of the purchase price actually paid for the affected product.

This Limited Warranty is exclusive and, to the fullest extent permitted by law, replaces all other express or implied warranties, including any implied warranties of merchantability or fitness for a particular purpose.

Warranty Claims

To request warranty service, the customer must notify ArcWright in writing as soon as reasonably possible after discovering the alleged defect and within the applicable warranty period.

Warranty claims should be submitted to info@arcwrightco.com and should include, when available:

• Purchase Order number or invoice number
• Product identification
• Description of the alleged defect
• Photographs of the product and the claimed defect

ArcWright may request additional information or require return of the product before determining whether warranty coverage applies.

No product may be returned without prior written authorization from ArcWright.

Unless otherwise agreed in writing, the customer is responsible for shipping the product to ArcWright for warranty evaluation. If the warranty claim is approved, ArcWright will pay the reasonable cost of return shipping for the repaired or replacement product.

Confidential Customer Information

ArcWright recognizes that customers may provide confidential business information, including specifications, measurements, purchase orders, pricing information, photographs, and project requirements.

Unless authorized by the customer or required by law, ArcWright will use this information solely for evaluating customer needs, developing practical solutions, manufacturing products, fulfilling orders, and providing requested services.

Good Faith Collaboration

ArcWright is committed to working collaboratively with its customers to resolve questions, clarify specifications, and address concerns in a timely and practical manner.

Both parties agree to communicate promptly regarding any issue that could reasonably affect product quality, project scope, pricing, manufacturing, or delivery schedules.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, ArcWright’s total liability arising out of or relating to any quotation, order, product, or transaction shall not exceed the purchase price actually paid for the affected product.

In no event shall ArcWright be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, loss of production, business interruption, loss of use, replacement costs, or other commercial losses, regardless of the legal theory asserted.

Force Majeure

ArcWright shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to:

• Natural disasters
• Fire
• Flood
• Severe weather
• Labor disputes
• Material shortages
• Transportation delays
• Government actions
• Supply chain disruptions
• War
• Terrorism
• Public health emergencies
• Utility outages
• Any other event beyond ArcWright’s reasonable control

Performance shall resume as soon as reasonably practicable after the event has ended.

Notices

Any notice required under these Terms shall be provided in writing by email or other mutually agreed written communication.

Entire Agreement

These Quote & Order Terms, together with the applicable quotation, ArcWright’s written order confirmation, the accepted purchase order, invoice, and any written agreements executed by both parties, constitute the complete agreement regarding the transaction.

In the event of any conflict between these Terms, a customer’s purchase order, a quotation, or any other transaction document, ArcWright’s written quotation and written order confirmation shall govern unless otherwise agreed in writing by both parties.

Severability

If any provision of these Quote & Order Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

Jurisdiction and venue shall rest in Pierce County, Washington.

Changes to These Terms

ArcWright may revise these Quote & Order Terms from time to time.

The version in effect on the date a quotation is issued shall govern that quotation unless otherwise agreed in writing.
